7Fabs Intellectual Property & Customer Design Ownership
1. Customer-supplied designs
Where the Customer supplies a complete, ready-to-fabricate design (CAD file, STL, DXF, or equivalent), the Customer retains all intellectual property rights in that design. 7Fabs claims no ownership interest in a Customer's pre-existing design and uses it solely to perform the quoted work under the license in the File Upload / Customer-Supplied File Terms.
2. Designs created or modified by 7Fabs
Where 7Fabs performs CAD design or design-cleanup work as part of the quoted scope (in whole or in part), ownership of the resulting design files is determined as follows unless the quote states otherwise:
- Paid design scope — automatic assignment. Effective upon 7Fabs's
- License back. The Customer grants 7Fabs a non-exclusive, royalty-free
- 7Fabs internal tooling, jigs, fixtures, and process know-how. 7Fabs
- Unpaid or in-progress work. Design files for work that has not been
receipt of full payment for the design/CAD scope, 7Fabs hereby assigns to the Customer all right, title, and interest (including copyright) in the new or modified design files created specifically for that project. This assignment is automatic on full payment and requires no further document; at the Customer's request and expense, 7Fabs will sign any confirmation reasonably needed to record it. The Customer's acceptance of the quote and these terms, recorded electronically, constitutes the signed writing for this assignment.
license to retain and use copies of assigned design files solely to support the project and produce reprints or reorders the Customer requests.
retains ownership of internal tooling, fixture designs, print-process parameters, and general know-how developed to produce the part, even where the resulting end-product design is assigned to the Customer, unless the quote states the Customer is purchasing the tooling/fixture outright.
paid for in full remain 7Fabs's property, and no assignment occurs, until full payment for that design scope is received.
3. Physical parts
Title to a fabricated physical part transfers to the Customer upon full payment, and possession transfers at pickup or shipment, subject to the Payment/Refund/Cancellation Policy and Pickup/Shipping/Damage Policy.
4. License to use for fulfillment
The license the Customer grants 7Fabs to use Customer-supplied designs for quoting, fabrication, reprints/reorders, and project support is stated in the File Upload / Customer-Supplied File Terms. The Customer may end that license for future work by written notice.
5. No unauthorized reuse
7Fabs will not reproduce, sell, or reuse a Customer's design for any other customer or purpose without the Customer's written permission. This does not restrict 7Fabs's use of its own general know-how, non-Customer-specific process parameters, or publicly available design elements.
6. Portfolio and marketing use
Photos or descriptions of a completed project may be used for 7Fabs marketing/portfolio purposes only with the Customer's separate permission under the Photo/Portfolio Permission Release. This section does not itself grant portfolio rights.
7. Third-party and pre-existing IP
Nothing in these terms grants either party rights in a third party's pre-existing intellectual property that may be embedded in a design (for example, a licensed component model). The Customer is responsible for ensuring it has the right to have such elements fabricated.
8. Indemnification
The Customer will defend and indemnify 7Fabs against third-party claims, damages, and reasonable costs (including attorney's fees) to the extent arising from an allegation that a Customer-supplied design, file, mark, or instruction — or 7Fabs's fabrication performed in accordance with it — infringes or misappropriates a third party's intellectual property rights. 7Fabs will defend and indemnify the Customer against third-party claims to the extent arising from an allegation that design content 7Fabs created independently (not derived from Customer-supplied material or instructions) infringes a third party's intellectual property rights. The indemnified party must give prompt notice and reasonable cooperation, and the indemnifying party controls the defense with counsel reasonably acceptable to the indemnified party. This Section does not require either party to indemnify the other for the other's own negligence or willful misconduct.
